Rafael Urquia B.
Rafael Urquia II holds a J.D. from Georgetown University and a Licenciate of Law from the University of Madrid, Spain, where he has also completed the coursework for the Doctorate of Law.
Mr. Urquia's practice centers on representing U.S. and foreign clients in connection with corporate transactions, mergers, joint ventures, acquisitions and foreign law issues, primarily in Spain and throughout Latin America. He has also participated in representing clients with cases before international arbitration tribunals and foreign courts. Mr. Urquia's common and civil law background enables him to handle complex cross-border transactions requiring a familiarity with both systems as well as the ability to draft in English and Spanish.
Among the principal transactions in which Mr. Urquia has been engaged are acting as chief negotiator for five U.S. corporations before the tax authorities of Ecuador and coordinating the ensuing tax litigation. He also carried the principal responsibility for drafting and negotiating agreements in connection with (i) the purchase of machinery and equipment by an Egyptian baked goods producer from a German manufacturer, (ii) the sale of assets by a U.S. subsidiary of a Canadian food company to a Swiss company, (iii) the sale of a division, with subsidiaries in 10 countries, of a major U.S. grain company to a U.K. chemical company, (iv) the sale of a controlling interest in a Latin American cellular telephony company to a U.S. telecommunications company, (v) the creation of a European-based international joint venture between South American and Israeli chemical companies, and (vi) the sale of a Latin American battery company to a U.S. company.
Mr. Urquia is a member of the American Bar Association and the Association of the Bar of the City of New York. He has also been a member of the Board of Directors of the East Coast Chapter of the U.S./Mexico Chamber of Commerce.
